Doll Face Pups — Guardian Home Program Agreement
This Guardian Home Program Agreement ("Agreement") is entered into on the date of digital execution by and between Doll Face Pups ("Breeder"), located in Heber City, Utah, and the Guardian Family identified in the application submitted ("Guardian"). The Agreement governs the placement of a breeding-quality dog ("the Dog") into the Guardian's home for the duration of the Dog's breeding career.
1. Purpose. The Guardian Home Program places one of Breeder's highest-quality breeding dogs into a vetted, loving family home where the Dog lives a normal family life while still participating in Breeder's licensed and reputable breeding program. The Dog's primary residence will be the Guardian's home, with periodic returns to Breeder for breeding-related events.
2. Identification of the Dog. The specific dog covered by this Agreement is identified in the welcome packet provided at placement, including: name, sex, date of birth, color/markings, microchip number, AKC registration (if applicable), and pedigree.
3. Term. This Agreement begins on the date of digital execution and continues until the Dog has completed the agreed number of litters (Section 14) and has been spayed/neutered, at which point full ownership transfers to Guardian under Section 17.
4. Ownership. The Dog remains the sole property of Breeder for all breeding purposes for the duration of this Agreement. Breeder retains all rights to the Dog's offspring, semen, embryos, and any genetic material until full transfer of ownership under Section 17. Guardian holds physical custody only.
5. Guardian Investment. Guardian agrees to pay a one-time, non-refundable participation fee of $500 prior to placement. This does not constitute a purchase of the Dog. The Dog's true market value (typically $8,500–$15,000) is effectively gifted to Guardian upon completion of the program. Doll Face Pups, may elect to waive the participation fee of $500.
6. Care Obligations. Guardian agrees to provide, at Guardian's sole expense: high-quality breeder-approved food and fresh water, all routine veterinary care (vaccinations, rabies, heartworm/flea/tick prevention, annual exams, dental), professional grooming, daily exercise and socialization, basic obedience training (sit, stay, come, leash, crate, potty), a safe and secure home environment with supervised outdoor time and enclosed/fenced area, and county license registration where required.
7. Veterinary Authority. Guardian shall use a licensed veterinarian for routine care. For all breeding-related health decisions — including reproductive exams, progesterone testing, ultrasounds, x-rays, C-sections, and any condition affecting reproductive capacity — the opinion of Breeder's designated veterinarian is the sole recognized authority. Guardian's personal vet's opinion will not override Breeder's veterinary direction on breeding matters. Costs for breeding-related care are paid by Breeder and deducted from Net Profit (Section 15).
8. Elective Procedures. Guardian shall not authorize any elective procedure — including spaying, neutering, dental extractions, cosmetic surgery, or any procedure that could impact reproductive capacity — without prior written consent from Breeder. Unauthorized spaying or neutering constitutes material breach and entitles Breeder to liquidated damages of $15,000.
9. Breeding Decisions — Sole Authority of Breeder. All breeding decisions are made solely by Breeder. This includes, without limitation: timing of first breeding, frequency of breeding, selection of sires, semen collection, artificial insemination, surgical insemination, embryo transfer, decision to skip or proceed with any heat cycle, and decision to retire the Dog. Guardian has no authority to prevent, delay, alter, or interfere with any breeding decision.
10. Back-to-Back Breeding. Guardian acknowledges and agrees that Breeder's program uses back-to-back breeding beginning at the Dog's second heat cycle, consistent with current reproductive science showing reduced uterine complications when compared to skipped-cycle programs. Guardian will not attempt to delay or skip cycles.
11. Heat Cycle Monitoring. Guardian agrees to actively monitor the Dog for signs of heat (vulvar swelling, bleeding, behavior changes) and to notify Breeder by phone or text within 24 hours of the first sign. Failure to monitor and report in a timely manner may result in a missed breeding cycle and forfeiture of Guardian's compensation for that cycle. Repeated failures constitute material breach.
12. Transport. Guardian is responsible for transporting the Dog to Breeder's location for breeding (typically 5–14 days during the active heat window), whelping (delivered to Breeder 7–14 days prior to due date), and any breeding-related veterinary visits. All transport costs are borne by Guardian.
13. Whelping and Post-Whelp Recovery. Following whelping, the Dog and her litter remain in Breeder's care for approximately 6–8 weeks until puppies are placed in their permanent homes. The total absence from Guardian's home per breeding cycle is typically 8–10 weeks.
14. Number of Litters. The Dog will be bred for a minimum of four (4) litters, with any additional litters at Breeder's sole discretion based on the Dog's reproductive health, as evaluated by Breeder's veterinarian. Breeder retains the right to retire the Dog earlier than four litters for health reasons.
15. Compensation — 30% of Net Profit. Guardian shall receive thirty percent (30%) of Net Profit per litter as full compensation. "Net Profit" is defined as total revenue from sale of all puppies in the litter, minus all direct costs: stud fee or AI/semen costs, progesterone testing, ultrasounds, x-rays, C-section, post-natal veterinary care, puppy vaccinations and dewormings, microchipping, AKC registration, puppy packs, and any refunds issued under Breeder's health guarantee. Compensation is paid within sixty (60) days after the final puppy is placed and payment received. Breeder will issue Guardian an IRS Form 1099-K for any tax year payments exceed reportable thresholds; Guardian provides a Form W-9 prior to receiving compensation. At Breeder's sole discretion, an additional litter bonus of up to 30% of Net Profit may be awarded for exceptional sales performance. Doll Face Pups may grant an extra 10% of the net litter profit to the guardian home if the guardian decides to help whelp and raise the litter.
16. No Compensation for Missed or Failed Cycles. Guardian acknowledges that breeding outcomes are uncertain. No compensation is owed for: missed heat cycles, failed breedings, false pregnancies, resorbed pregnancies, stillborn litters, or any litter that does not result in successfully placed puppies.
17. Retirement, Spay/Neuter, and Transfer of Ownership. Upon completion of the agreed number of litters, the Dog will be spayed (or neutered, if male) at Breeder's expense by Breeder's veterinarian. Upon completion of the surgery and Guardian's full performance, full ownership of the Dog automatically transfers to Guardian at no additional cost, and AKC registration (where applicable) transfers to Guardian's name.
18. Reclamation Rights. Breeder reserves the absolute right to reclaim physical custody of the Dog at any time during the Term, with or without notice, if Guardian: (a) fails to monitor or report heat cycles, (b) fails to provide care meeting Section 6 standards, (c) authorizes any unauthorized elective procedure, (d) interferes with breeding decisions, (e) fails to deliver the Dog for breeding or whelping, (f) subjects the Dog to abuse, neglect, or unsafe conditions, (g) becomes unable to care for the Dog (relocation, illness, financial hardship), or (h) permits the Dog to escape, be lost, or be stolen due to inadequate containment. Upon reclamation, Guardian forfeits the $500 participation fee and any pending compensation.
19. Illness, Injury, or Death. Guardian shall notify Breeder immediately upon any serious illness, injury, or death. In a true medical emergency where Breeder cannot be reached, Guardian may seek immediate stabilizing care at any licensed emergency vet, then notify Breeder as soon as possible. If the Dog dies or is permanently incapacitated due to Guardian's negligence (escape from inadequate containment, vehicle abandonment, ingestion of toxins, unsupervised care by minors, failure to seek timely vet care), Guardian shall pay Breeder liquidated damages of $15,000. If the Dog dies of natural causes, accident not caused by negligence, or while in Breeder's care, no damages are owed by either party.
20. Liability and Indemnification. Guardian assumes all risk associated with custody of the Dog and shall indemnify and hold Breeder harmless from any claims, damages, or liabilities arising from the Dog's conduct while in Guardian's custody, including bites, property damage, or third-party injury. Guardian is encouraged to confirm that homeowner's or renter's insurance covers dog-related liability.
21. Photography and Marketing. Breeder retains the right to photograph and video the Dog and any offspring, and to use such media for marketing, social media, website, and promotional purposes without further compensation to Guardian.
22. Voluntary Return by Guardian. Guardian may voluntarily return the Dog to Breeder at any time, for any reason, by providing written notice. Upon return, Guardian forfeits the $500 participation fee and any unpaid compensation, and this Agreement terminates.
23. Confidentiality. Guardian agrees to keep confidential all proprietary information regarding Breeder's program, including breeding pairings, financial information, client lists, and breeding protocols. This obligation survives termination.
24. Entire Agreement; Governing Law. This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions. No amendment is valid unless in writing and signed by both parties. This Agreement is governed by the laws of the State of Utah. Disputes shall first be addressed through good-faith mediation, and if unresolved, through binding arbitration in Wasatch County, Utah. The prevailing party shall be entitled to reasonable attorney's fees and costs.
25. Severability. If any provision is held unenforceable, the remainder of the Agreement shall remain in full force and effect.
26. Acknowledgment and Signature. By submitting this Agreement electronically with Guardian's typed name as digital signature, Guardian affirms: Guardian has read and understands every provision; Guardian agrees to be legally bound by all terms; Guardian is at least 18 years of age and has legal authority to enter this Agreement; all information provided in the Guardian Application is true and accurate.
